Filings of resignation

Any modification of the information entered in the RCS in the context of a resignation, has to be filed with the RCS using the procedure Resignation.

The request has to be accompanied by the document or documents whose publication is required by law.

In order to be able to proceed with their filing request of a resignation, it is mandatory for the user to have authenticated themselves, either by LuxTrust electronic certificate, via the GouvID application, or by eIDAS certificate.

In order to facilitate modifications to the information registered with the RCS, the data entry forms relating to the filings of modifications are pre-filled with the data registered with the RCS at the time the request is made available.

Resignation of an authorized representative

This administrative procedure involves the filing of a document providing information on the unilateral resignation of an authorized representative, the person responsible for verifying the accounts and/or the depositary.

The document must be registered and, if necessary, published.

Important: When using this procedure, there is no need to create and attach a document intended for publication.

In fact, by way of administrative simplification, the publication is auto-generated by the RCS administrator, based on the information that has been listed in the resignation request.

The automatic generation of publication will be issued in the same language as the resignation request and cannot be modified.


After selecting this procedure, the user moves on to the next page where they are invited to:

  • To check the box Yes if the resignation(s) concern(s) persons who are not / no longer registered with the RCS.

  • To check the box No if the resignation(s) do not concern persons who are not / no longer registered with the RCS.

  • To choose the language of the data entry form relating to the resignation filing request.

Important: Make sure you have the information required to proceed with the resignation.

After indicating their choices, the user confirms the creation of their resignation filing request by clicking on the Next button.

The user is then redirected to the data entry form corresponding to the chosen procedure.

The user can also access their resignation request in the My requests to be finalised section available in their customer space, which can be accessed via the My Account menu. The user can thus consult or complete their filing request in process.

Resignation of permanent representative(s) of the subsidiary

This administrative procedure concerns the resignation of one or more permanent representative(s) of a subsidiary.

Important: When using this procedure, there is no need to create and attach a document intended for publication.

In fact, by way of administrative simplification, the publication is auto-generated by the RCS administrator, based on the information that has been listed in the resignation request.

The automatic generation of publication will be issued in the same language as the resignation request and cannot be modified.


After selecting this procedure, the user moves on to the next page where they are invited to:

  • Select the subsidiary containing the representative(s) who have resigned from the list of subsidiaries.

  • To check the box Yes if the resignation(s) concern(s) persons who are not / no longer registered with the RCS.

  • To check the box No if the resignation(s) do not concern persons who are not / no longer registered with the RCS.

  • To choose the language of the data entry form relating to the resignation filing request.

Important: Make sure you have the information required to proceed with the resignation.
