Explanation

The term of existence of your entity has come to an end. This means that the term specified when the entity was created has expired and no information has been provided to indicate whether the entity is continuing its activities or whether it has to be closed. Depending on the situation applicable to your entity, you have to:

  • either proceed with the deletion of the entity if it no longer has a reason to exist,
  • or extend its term of existence if the project or purpose of the entity has been extended over time,
  • or indicate that its term of existence is now unlimited.

Updating this information ensures that the entity's situation is accurately reflected.

Scenario 1 - The term of existence of the entity is not extended

When the term of the entity was linked to a specific project or purpose that has come to an end, the entity no longer has any reason to exist. In this case, you have to proceed with the deletion of the entity. However, a preliminary liquidation phase is necessary before deletion. This phase consists of two steps:

  • As a first step, you must proceed with the registration of the entity’s liquidation;

  • As a second step, once the liquidation has been completed, you must proceed with the permanent deletion of the entity.

If no liquidation phase is required, you may proceed directly to the permanent deletion of the entity (see step 2).

Scenario 2 - The term of the entity is extended

When the entity continues its activity, the term of existence has to be updated according to the entity's actual situation. Two situations may arise:

  • if the term of existence is linked to a specific project or objective that has been extended over time, you have to update the term of existence in accordance with the information contained in the deed of incorporation;

  • if the term of existence of the entity is now provided for without any time limit, you have to update the term of existence in accordance with the information contained in the deed of incorporation.

Step 1: How to proceed with the liquidation of your entity?

To proceed with the liquidation of the entity, you must submit a modification filing with the RCS.

After selecting the Modification service, you will be taken to the page where you have to select the language of the form.
Before continuing, ensure you have all the necessary information and documents required to make the modification.

Once you have selected your language, click Next. You will then be automatically redirected to the data entry form to complete the modification.

In the part Saisie des données, select the section Liquidation volontaire to enter information relating to the voluntary liquidation of the entity, the terms of the liquidation and the identity of the liquidators.

To register one or more liquidators, click on the option Ajouter un liquidateur, then complete the requested information.

 

You must complete the following fields:

  • Date à laquelle la liquidation a été décidée
    Indicate the date on which the entity's term of existence expired.

  • Pouvoir général (optional field)
    This field allows you to indicate whether the articles of association grant the liquidator the authority to bind the company. This authority must only be indicated if it is expressly provided for in the articles of association.

  • Registration of the liquidator
    Select the type of person concerned: natural person, Luxembourg legal entity or foreign legal entity.

    Complete all fields on the basis of the information set out in the minutes of the extraordinary general meeting, which will be attached to the filing request.

  • Pouvoir de signature du liquidateur (optional field)
    This field allows you to indicate a specific signing authority granted to the liquidator.

Once you have entered all the required information, you can continue with the voluntary liquidation procedure by clicking on the button Compléter la publication.

Publication

Section of the request where you have to add the document intended for publication in the RESA. This document must be drawn up in the form of an extract. The extract must contain essential information, including:

  • for a liquidator who is a natural person: surname, first name, address and, where applicable, the powers granted to them;
  • for a liquidator who is a legal entity: the trade name and address of the company, as well as information relating to the permanent representative (surname, first name, address and, where applicable, the powers granted).

The document has to be a PDF in PDF/A text format. To add it, click on Ajouter la pièce jointe in the field Document(s) destiné(s) à la publication. Uploading may take a little time, as each file is automatically checked to ensure that it complies with the PDF/A standard. Once this step is complete, click on the Récapitulatif section to proceed to the next step.

Récapitulatif

Section of the request where you can check the summary of your request before sending it to the cart. To do this, click on Visualiser le récapitulatif de ma demande en français to open the PDF document. If you spot an error, you can go back using the previous step button to the section where the information has to be corrected.

If all the information is correct, check the box J’ai contrôlé mon document récapitulatif. You can also add a personal reference in the field Ma référence de dépôt to better organise your requests. Once you have finished verifying, click on Ajouter la demande au panier to confirm your procedure.

Documents to be submitted: Things to know (PDF/A format required)

General rules

The requirements differ slightly depending on whether or not the document is intended for official publication in the RESA.

1. Documents not intended for publication have to be submitted in PDF/A format. These documents also have to:

  • Be submitted in A4 format.
  • Have a white horizontal area of at least 35 millimetres at the top of the first page to allow LBR to affix a virtual label representing the electronic filing receipt.
  • Be saved in PDF/A-1a or PDF/A-1b format: when saving the file, select the PDF/A-1a or PDF/A-1b option provided by your software (Word, LibreOffice, Adobe, etc.).

2. Documents intended for publication in the RESA have to be submitted in PDF/A Text format. These documents also have to:

  • Be submitted in A4 format.
  • Have a white horizontal area of at least 35 millimetres at the top of the first page to allow LBR to affix a virtual label representing the electronic filing receipt.
  • Be saved in PDF/A-1a or PDF/A-1b format: when saving the file, select the PDF/A-1a or PDF/A-1b option provided by your software (Word, LibreOffice, Adobe, etc.).
  • Not contain images.
  • Not have been digitised.
  • Be written in fonts commonly used in office automation: Arial, Calibri, New Courier, Times New Roman, Helvetica, Source Sans Pro.
    In order to guarantee the acceptance of predefined bullet points, and only for this purpose, Wingdings and Symbol fonts are also accepted.
  • Be written in black font on a white background.

Regarding the header of the documents you are required to submit, place the information below the horizontal white area of 35 mm at the top of the page. The following information must be indicated:

  • Trade name (e.g.: Name of your company or your ASBL)
  • Legal form (e.g. Société à responsabilité limité; Association sans but lucratif)
  • Address of the ASBL (e.g. 1, rue de Luxembourg, L-0000 Luxembourg)
  • RCS Number of the company or ASBL (e.g.: B123456; F1234)

Step 2: How to proceed with the deletion of your entity

Once the liquidation has been completed, you must submit a deletion filing with the RCS in order to proceed with the deletion of the entity. If no liquidation phase is required, you can proceed directly with the deletion of the entity.

In the part Saisie des données, select the section Radiation to enter information relating to the entity’s cessation date and the reason for deletion.

Case 1 – A preliminary liquidation phase has taken place

  • Date de cessation: this date must be identical to or later than the date on which the company was placed into voluntary liquidation (step 1).

  • Motif de la radiation: in the drop-down list, select the reason Clôture de la liquidation volontaire

Important: a document intended for publication, evidencing the closure of the voluntary liquidation, must be attached to your filing request. The form and content of this document depend on the legal form of your entity.

Once all the information has been entered, click on the button Compléter la publication to proceed to the next step.

Case 2 – No liquidation phase was required

  • Date de cessation: this date must be the same as or later than the date on which the term of existence of the entity expired.

  • Motif de la radiation: in the drop-down list, select the reason Autre.
    An additional field will appear and must be completed with a brief explanation of the reason for deletion, for example: Term of existence expired.

Once all the information has been entered, click on the section Récapitulatif to proceed to the next step.

Publication

Case 1 – A preliminary liquidation phase has taken place
Section of the request where you have to add the document intended for publication in the RESA. This document must certify the completion of the voluntary liquidation. Its form and content depend on the legal form of your entity.

The document has to be a PDF in PDF/A text format. To add it, click on Ajouter la pièce jointe in the field Document(s) destiné(s) à la publication. Uploading may take a little time, as each file is automatically checked to ensure that it complies with the PDF/A standard. Once this step is complete, click on the Récapitulatif section to proceed to the next step.

Case 2 – No liquidation phase was required
No publication is required for the deletion
. You can continue the procedure by clicking on the section Récapitulatif to verifiy the information you have entered and proceed to the next step.

The term of existence of the entity has been extended - How to update the term of your entity?

The decision to extend or amend the duration of existence of the entity must have been taken before the expiry of the initially provided term and must have been formally recorded, even if it has not yet been filed with the RCS.

To update the term of the entity, you must submit a modification filing with the RCS. Depending on the situation of your entity, two cases may arise:

  • The term of existence is linked to a specific project or objective that has been extended over time: in this case, you must modify the duration of existence in accordance with the information set out in the deed of incorporation.
  • The term of existence is provided for without any time limit: in this case, you must modify the duration of existence in accordance with the information set out in the deed of incorporation.

After selecting the Modification service, you will be taken to the page where you have to select the language of the form.

In the part Saisie des données, select the section Durée to access the information to be updated.

In the example provided as part of the explanations, you can see that the duration of existence is recorded as fixed and that the end date entered was set for December 2022.

To amend the information displayed, click on the option Modifier to unlock the input fields and make the necessary changes.

Scenario 1 - The term of existence linked to a specific project or objective has been extended over time

After clicking on Modifier, select the Prorogée option. In the field Date de fin, indicate the new expiry date using the Calender function.

This update makes it possible to officially extend the duration of existence of the entity. It must correspond to the information provided for in the deed of incorporation or in the decision that extended the project or objective of the entity.

Once the information has been completed, click on the Publication section or on the Compléter la publication button to proceed to the next step.

Scenario 2 - The term of existence is expected to be without time limit

After clicking on Modifier, select the Illimitée option.

This update officially extends the duration of existence of the entity. It must correspond to the information provided for in the deed of incorporation or in the decision providing for a duration of existence without any time limit.

Once the information has been completed, click on the Publication section or on the Compléter la publication button to proceed to the next step.
