The address of the registered office does not correspond with the national register of localities and streets

Explanation

The address of the registered office registered for your entity does not comply with the national register of localities and streets. This means that certain address details, such as the street name, number or town, do not match the official data and do not allow the address to be correctly identified.
To regularise your file, you have to provide a complete and accurate address for the registered office, as it officially exists (street, number, postcode and town) in the national register of localities and streets.

How to correct the address of your entity's registered office?

To correct the address of the registered office, you must submit a modification filing with the RCS. Simply enter a complete address that complies with the national register of localities and streets (street, number, postcode and locality) and add the necessary documents, such as a decision by the competent authority, if required.

The information presented is standard and provided for guidance purposes only. Depending on the legal form of your entity, the documents to be provided or the steps to be followed may differ.

After selecting the Modification service, you will be taken to the page where you have to select the language of the form.
Before continuing, ensure you have all the necessary information and documents required to make the modification.

Once you have selected your language, click Next. You will then be automatically redirected to the data entry form to complete the modification.

In the part Saisie des données, select the section Siège social to access the information to be updated.

In the example provided as part of the explanations, you can see that the street name is not correctly indicated. It is incomplete. The official name to be indicated is Avenue de la Gare.

To amend the information displayed, click on the option Modifier to unlock the input fields and make the necessary changes.

 

After clicking on Modifier, click in the field Code postal and enter the postcode for your address.

Then click on Rechercher l’adresse. The Localité and Rue fields will be filled in automatically based on information from the national register of localities and streets.

In the Numéro field, enter the street number if there is one. Once you have completed all the information, click on Publication to proceed to the next step.

When you change the address of the registered office, a message asks you whether or not this change results in an amendment to your entity's articles of association.

  • Select Yes if you are changing your location or if the full address of the registered office is mentioned in your articles of association and you are registering a new address.
    In this case, you must attach the document approving this change, for example, minutes, a decision by the competent body or a notarial deed, depending on your legal form.

  • Select No if the change does not affect the articles of association.

The exact documents to be provided may vary depending on your legal form and how your registered office is organised (domiciliation, own address, subsidiary, etc.).

Statutory amendment

A statutory amendment occurs when the change of registered office results in an amendment to the article of the articles of association that specifies the address of the registered office. This is particularly the case:

  • if you change municipalities;
  • or if the full address of the registered office is mentioned in the articles of association and you indicate a new address.

In this case, the document to be filed and published must be in the same form as the entity's articles of incorporation.

  • For SA, SARL, SCA, SAS, SE and foundations, the amendment must be drawn up by notarial deed. The notary will take care of the formalities with the RCS directly.

  • For civil companies, SCS, SNC, SCSP, GIE and GEIE, the amendment may be drawn up as a private agreement. The minutes recording the decision to make the amendment must be published in extract form.

  • For SARL-S, ASBL, agricultural associations, cooperative companies and cooperative companies organised as an SA, the amendment may also be drawn up by private agreement. The minutes deciding on the amendment must be published in full.

Non-statutory amendment

This is a non-statutory amendment when the change of registered office does not entail any amendment to the articles of association. This is the case, for example, when only the municipality is mentioned in the articles of association and the registered office remains in the same municipality. In this case:

  • For civil companies, ASBL, foundations, GIE, GEIE, cooperatives and farming associations, no documents intended for publication are required.

  • For SA, SARL, SARL-S, SCA, SAS, SE and cooperative companies organised as public limited companies, a document has to be provided. This document should only include the information that has been modified, without reproducing the entire original deed or document.

  • For SNC, SCS et SCSP, a document intended for publication may be attached.

Publication

Section of the request where you have to add the document intended for publication in the RESA. The document has to be a PDF in PDF/A text format. To add it, click on Ajouter la pièce jointe in the field Document(s) destiné(s) à la publication. Uploading may take a little time, as each file is automatically checked to ensure that it complies with the PDF/A standard. Once this step is complete, click on the Récapitulatif section to proceed to the next step.

Récapitulatif

Section of the request where you can check the summary of your request before sending it to the cart. To do this, click on Visualiser le récapitulatif de ma demande en français to open the PDF document. If you spot an error, you can go back using the previous step button to the section where the information has to be corrected.

If all the information is correct, check the box J’ai contrôlé mon document récapitulatif. You can also add a personal reference in the field Ma référence de dépôt to better organise your requests. Once you have finished verifying, click on Ajouter la demande au panier to confirm your procedure.

Documents to be submitted: Things to know (PDF/A format required)

General rules

The requirements differ slightly depending on whether or not the document is intended for official publication in the RESA.

1. Documents not intended for publication have to be submitted in PDF/A format. These documents also have to:

  • Be submitted in A4 format.
  • Have a white horizontal area of at least 35 millimetres at the top of the first page to allow LBR to affix a virtual label representing the electronic filing receipt.
  • Be saved in PDF/A-1a or PDF/A-1b format: when saving the file, select the PDF/A-1a or PDF/A-1b option provided by your software (Word, LibreOffice, Adobe, etc.).

2. Documents intended for publication in the RESA have to be submitted in PDF/A Text format. These documents also have to:

  • Be submitted in A4 format.
  • Have a white horizontal area of at least 35 millimetres at the top of the first page to allow LBR to affix a virtual label representing the electronic filing receipt.
  • Be saved in PDF/A-1a or PDF/A-1b format: when saving the file, select the PDF/A-1a or PDF/A-1b option provided by your software (Word, LibreOffice, Adobe, etc.).
  • Not contain images.
  • Not have been digitised.
  • Be written in fonts commonly used in office automation: Arial, Calibri, New Courier, Times New Roman, Helvetica, Source Sans Pro.
    In order to guarantee the acceptance of predefined bullet points, and only for this purpose, Wingdings and Symbol fonts are also accepted.
  • Be written in black font on a white background.

Regarding the header of the documents you are required to submit, place the information below the horizontal white area of 35 mm at the top of the page. The following information must be indicated:

  • Trade name (e.g.: Name of your company or your ASBL)
  • Legal form (e.g. Société à responsabilité limité; Association sans but lucratif)
  • Address of the ASBL (e.g. 1, rue de Luxembourg, L-0000 Luxembourg)
  • RCS Number of the company or ASBL (e.g.: B123456; F1234)
